HopWire Terms of Service

1. Acceptance of Terms

By downloading, accessing, or using the HopWire application or website (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and HopWire ("we," "our," or "us"). We reserve the right to update these Terms at any time. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

2. Eligibility

You must be at least 21 years of age to use HopWire. By using the Service, you represent and warrant that:

• You are at least 21 years old
• You have the legal capacity to enter into a binding agreement
• You are not barred from using the Service under any applicable law
• All registration information you provide is accurate and truthful

3. Account Registration

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately at info@hopwire.app if you suspect unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

You may not create more than one account, impersonate another person, or create an account on behalf of someone else without their consent.

4. Free and Paid Tiers

HopWire offers both a free tier and paid subscription tier(s). By subscribing to a paid tier, you agree to the following:

• Billing: You authorize us to charge your payment method on a recurring basis at the then-current subscription rate.
• Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled prior to the renewal date.
• Cancellation: You may cancel your subscription at any time by sending an email to info@hopwire.app. Cancellation takes effect at the end of the current billing period.
• Refunds: Refunds are governed by our Refund / Cancellation Policy, which is incorporated into these Terms by reference.
• Price Changes: We may change subscription pricing with reasonable advance notice. Continued use after a price change takes effect constitutes acceptance of the new pricing.

We reserve the right to modify, limit, or discontinue any features of the free or paid tiers at any time.

5. User Content

5.1 Content You Post

HopWire allows you to send messages to friends and upload photos to past events ("User Content"). You retain ownership of any content you submit. By posting User Content, you grant HopWire a non-exclusive, royalty-free, worldwide license to store, display, and deliver your content solely for the purpose of operating and providing the Service.

5.2 Content Standards

You agree that your User Content will not:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of any third party
• Contain nudity, graphic violence, or sexually explicit material
• Harass, bully, threaten, or demean other users
• Contain spam, malware, or deceptive content
• Impersonate any person or entity
• Violate our Community Guidelines, which are incorporated into these Terms by reference

5.3 Content Removal

We reserve the right to remove any User Content that violates these Terms or our Community Guidelines, at our sole discretion, without prior notice.

6. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service or another user's account
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools (bots, scrapers, crawlers) to access or collect data from the Service
• Interfere with or disrupt the integrity or performance of the Service
• Transmit any viruses, malware, or other harmful code
• Use the Service to send unsolicited messages or spam to other users
• Harvest or collect other users' personal information without their consent

7. Intellectual Property

All content, features, and functionality of the Service — including but not limited to the HopWire name, logo, design, text, graphics, and software — are owned by HopWire and protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Service without our express written permission.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

9. Third-Party Services

The Service may contain links to or integrations with third-party websites or services (including Facebook). We do not control and are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is at your own risk.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HOPWIRE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO HOPWIRE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

12. Indemnification

You agree to indemnify, defend, and hold harmless HopWire and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

13. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. You may also delete your account at any time through your account settings. Sections 7, 10, 11, 12, and 14 of these Terms shall survive termination.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Virginia, and you consent to personal jurisdiction in those courts.

15. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, Cookie Policy, Community Guidelines, and Refund / Cancellation Policy, constitute the entire agreement between you and HopWire regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights freely.
