HopWire Terms of Service

1. Acceptance of Terms

By downloading, accessing, or using the HopWire application or website (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and HopWire ("we," "our," or "us"). We reserve the right to update these Terms at any time. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

2. Eligibility

You must be at least 21 years of age to use HopWire. By using the Service, you represent and warrant that:

• You are at least 21 years old
• You have the legal capacity to enter into a binding agreement
• You are not barred from using the Service under any applicable law
• All registration information you provide is accurate and truthful

3. Account Registration

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately at info@hopwire.app if you suspect unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

You may not create more than one personal account, impersonate another person, or create an account on behalf of someone else without their consent. Brewery owners or operators may maintain separate business accounts for separately branded breweries, as described in Section 4.

4. Free Access and Future Subscription Plans

HopWire currently provides free access to all users, including individual users and brewery owners. No subscription fees are currently required to use HopWire.

• Future Brewery Subscription Plans: HopWire reserves the right to introduce paid subscription plans for brewery business profiles and related business features in the future. Before any subscription fees are introduced, affected brewery owners will receive advance notice by email explaining the upcoming pricing, the expected effective date, and any steps required to continue using subscription-based features. Brewery owners will be given a reasonable period of time to review the proposed pricing and decide whether to continue using the affected features. If payment information is required, brewery owners will have an opportunity to provide it before paid subscriptions take effect. HopWire will not charge a brewery owner for a subscription without their authorization to the applicable payment terms and payment method. If a brewery owner chooses not to subscribe to a paid plan, access to certain brewery business features may be limited, suspended, or discontinued once the applicable changes take effect. Any such changes will be communicated in advance.
• Subscription Scope: Each subscription covers a single brewery brand and its associated locations. Multi-location pricing tiers apply only to locations operating under the same brewery brand or legal entity. Separately branded breweries require separate accounts and separate subscriptions, even if they are owned or operated by the same individual or organization. Accounts and subscriptions may not be combined, shared, or transferred between distinct brewery brands.
• Billing and Renewal: If paid subscription plans are introduced and you choose to subscribe, you authorize HopWire to charge your selected payment method at the applicable subscription rate and billing frequency, subject to the terms presented when you subscribe. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
• Cancellation: Paid subscriptions may be cancelled at any time by sending an email to info@hopwire.app. Unless otherwise stated in the applicable subscription terms, cancellation takes effect at the end of the current billing period.
• Refunds: Refunds for paid subscriptions are governed by our Refund / Cancellation Policy, which is incorporated into these Terms by reference.
• Pricing and Feature Changes: HopWire reserves the right to modify its pricing, subscription plans, features, and service offerings. Material changes affecting existing users will be communicated as required by these Terms and applicable law. Any new subscription charges will be subject to the applicable subscription terms and authorization.

HopWire reserves the right to modify, limit, suspend, or discontinue features of its services. Where such changes affect existing users, HopWire will provide notice as described in these Terms or as otherwise required by applicable law.

5. User Content

5.1 Content You Post

HopWire allows you to send messages to friends and upload photos to past events ("User Content"). You retain ownership of any content you submit. By posting User Content, you grant HopWire a non-exclusive, royalty-free, worldwide license to store, display, and deliver your content solely for the purpose of operating and providing the Service. Brewery owners may use, download, reproduce, distribute, and share photos uploaded to their past events for any lawful purpose, including marketing, promotional materials, websites, and social media, without restriction by HopWire. This permission applies to photos associated with events hosted by the applicable brewery and does not grant rights to content owned by other users or third parties.

5.2 Content Standards

You agree that your User Content will not:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of any third party
• Contain nudity, graphic violence, or sexually explicit material
• Harass, bully, threaten, or demean other users
• Contain spam, malware, or deceptive content
• Impersonate any person or entity
• Violate our Community Guidelines, which are incorporated into these Terms by reference

5.3 Content Removal

HopWire reserves the right, at its sole discretion, to review, remove, restrict, modify, or disable access to any User Content or brewery business content, including business profiles, event listings, photos, descriptions, and other materials submitted or published through the Service. Such action may be taken if content violates these Terms, our Community Guidelines, applicable law, infringes upon the rights of others, or is otherwise deemed inappropriate or harmful to the Service or its users. HopWire may take such action with or without prior notice, as appropriate under the circumstances. Brewery owners and other users are responsible for ensuring that content they submit or publish through HopWire is accurate, lawful, and does not violate the rights of any third party.

6. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service or another user's account
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools (bots, scrapers, crawlers) to access or collect data from the Service
• Interfere with or disrupt the integrity or performance of the Service
• Transmit any viruses, malware, or other harmful code
• Use the Service to send unsolicited messages or spam to other users
• Harvest or collect other users' personal information without their consent

7. Intellectual Property

All content, features, and functionality of the Service — including but not limited to the HopWire name, logo, design, text, graphics, and software — are owned by HopWire and protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Service without our express written permission.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

9. Third-Party Services

The Service may contain links to or integrations with third-party websites or services (including Facebook). We do not control and are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is at your own risk.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HOPWIRE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO HOPWIRE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

12. Indemnification

You agree to indemnify, defend, and hold harmless HopWire and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

13. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. You may also delete your account at any time through your account settings. Sections 7, 10, 11, 12, and 14 of these Terms shall survive termination.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Virginia, and you consent to personal jurisdiction in those courts.

15. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, Cookie Policy, Community Guidelines, and Refund / Cancellation Policy, constitute the entire agreement between you and HopWire regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights freely.
